JOB PURPOSE:

The Stanford University Office of the General Counsel (OGC) and Stanford Management Company (SMC) are seeking qualified candidates to provide paralegal support to the OGC lawyers supporting the investment and operations teams at SMC.  SMC is the fiduciary for the $30 billion Merged Pool, which comprises the substantial majority of Stanford’s investable assets.  Annual payouts from the Merged Pool support teaching, learning, and research across a wide variety of disciplines.  More information about SMC can be found at https://smc.stanford.edu.  This position will report to the Director of Legal Services in OGC, with day-to-day direction from Senior University Counsel supporting SMC. 

 

CORE DUTIES:

  • Support all aspects of the investment process, including coordination of communication between the legal, investment and operations teams, due diligence, document preparation, closing mechanics and processing, and post-closing administration.

  • Draft and review contracts and other investment-related documents, such as confidentiality agreements, amendments, withdrawal requests, certifications and compliance filings.

  • Prepare state and federal regulatory and compliance and informational filings.

  • Respond to information requests from other university business units.

  • Maintain an efficient legal filing system and manage retention of electronic documents.

  • Assist with ethics and compliance programs.

  • Gather and analyze data in support of business initiatives.

Other duties may also be assigned.

 

MINIMUM REQUIREMENTS:

Education & Experience:

Two-year college degree or equivalent, and three years of related experience in corporate transactions/finance or possess at least one of the following three requirements:

  • Completion of a paralegal certificate program approved by the American Bar Association.

  • Completion of 24 semester units of paralegal education at a state-approved or accredited institution.

  • Completion of a bachelor’s degree in any field combined with one year of law-related experience under the supervision of a lawyer.

Must also complete all required continuing legal education every two years in order to lawfully perform services or identify self as a paralegal in the state of California.

 

Knowledge, Skills and Abilities:

  • Familiarity with investment process and investment office middle- and back-office processes and procedures a plus.

  • Proven project management skills.

  • Strong organizational skills and attention to detail.

  • Multitask effectively; self-directed.

  • Ability to handle shifting priorities with flexibility and patience.

  • Proficient in common office computer applications.

  • Must possess excellent oral and written communication skills.

  • Exercise good judgment.

 

PHYSICAL REQUIREMENTS:

  • Constantly perform desk-based computer tasks.

  • Frequently sitting.

  • Occasionally stand/walk, use a telephone, writing by hand.

  • Rarely kneel/crawl, twist/bend/stoop/squat, sort/file paperwork or parts.
